General Terms

“MoebelX” Ltd., hereinafter referred to as “MoebelX”/SELLER, offers the Goods published in the online store www.mbx.bg to any legal entity, hereinafter referred to as “Buyer”, provided that the latter accepts the terms of this Agreement and its appendices (unconditional acceptance).

This Agreement does not require bilateral signing, is considered concluded from the moment it is accepted by the Buyer, and is valid in electronic form.

I. DEFINITIONS

“MoebelX” or “SELLER” means “MoebelX” Ltd., with registered office and correspondence address: Ruse, Nikola Vaptsarov St. No. 8, UIC 2061701520, website: www.mbx.bg, email: orders@mbx.bg

“CPA” – means Consumer Protection Act.

“LPDCDSSG” - Law on the Provision of Digital Content and Digital Services and the Sale of Goods

“LPPD” means the Law on Protection of Personal Data.

“SITE” – means the website located at the internet address www.mbx.bg

“ELECTRONIC STORE” – means the seller's electronic store located on the website.

“GOODS” – means the products offered by MoebelX through the online store.

“USER/CUSTOMER” – means a person using and visiting the website and the online store.

“BUYER” – means a consumer within the meaning of the Consumer Protection Act and the Act on Consumer Protection in Electronic Commerce.

“USER PROFILE” – means a specific section on the website that contains information about the Buyer, provided by the Buyer during their registration on the website.

“ORDER” – means the Buyer’s order for certain goods and services selected by them, along with the chosen method of payment and receipt of the goods.

“INSTALLATION SERVICE” – means the electronically requested service for the installation of goods purchased from the seller.

“SERVICES” – means the services of installation and delivery or any material or intellectual activity that is carried out independently, intended for another person, and does not primarily involve the transfer of ownership of a tangible item.

“DELIVERY PRICE” – means the costs of transportation and delivery of the goods to the Buyer, including VAT.

“PRICE PER ORDER” – means the total price of the goods, the price of installation, and the price of delivery.

“PRICE OF GOODS” – means the price per unit or for a specified quantity of goods, stated in Bulgarian lev, including VAT and all additional taxes and fees. The price does not include installation and delivery costs.

“SERVICE PRICE” – means the price for a service, stated in Bulgarian leva, including VAT.

“WORKING DAYS” – means all days except Saturdays, Sundays, and official public holidays

“PERSONAL DATA” - means personal data within the meaning of the Personal Data Protection Act.

“CASH ON DELIVERY” - means cash on delivery in the sense of the Postal Services Act.

“GENERAL TERMS” - means these general terms and conditions.

II. PRICES

1. All prices presented on the site are in Bulgarian lev, including VAT, and are valid only at the time of their publication. In case a product has several modifications, the prices for each of the modifications are indicated.

2. MoebelX reserves the right to change the prices of goods and services at any time without prior notice. The prices of goods and services presented on the website are final and include all taxes and fees except for the delivery charge, assembly, and the fee for payment by cash on delivery.

3. The buyer is obliged to pay the price that was indicated on the website at the time of placing the order, regardless of whether it is lower or higher than the updated price.

III. ONLINE PURCHASE OF GOODS AND ORDERING OF SERVICES

1. The Seller provides goods and services for a fee remotely to Buyers through the website and the online store after their explicit statement.

2. The buyer pays the price of the goods and services in accordance with the clauses and terms of the general conditions. He explicitly declares that he is aware of the fact that each order in the online store and the website is associated with an obligation to pay on his part.

3. MoebelX reserves the right to change the parameters and characteristics of the goods and services offered on the site, as well as their prices. The seller has the right to change the information published on the site without prior notice to the Buyer.

4. MoebelX has the right to update and change these terms and conditions at any time by revising this announcement. By using this site, all users agree that they will be bound by any changes made, and they are obligated to periodically visit this page to familiarize themselves with the current terms.

IV. REGISTRATION FOR USER PROFILE

1. The website and the online store can be browsed by users freely, without registration.

2. Registration on the seller's website is carried out voluntarily by the buyer by filling out the necessary personal information in the registration form. All mandatory fields that must be completed are marked with an asterisk. He agrees and declares that he will provide true, accurate, current, and complete information when creating his user profile by filling out the registration form. MoebelX may change the amount of required personal data for registration on the site at any time, in compliance with applicable legal requirements.

3. By registering, the buyer declares that they are at least 16 years old.

4. When registering on the site, the buyer specifies an email and password for access to their user profile. The buyer is fully responsible for the protection of their email and password, as well as for the actions of third parties using them. The buyer should end each session in the user profile by logging out, in order to ensure security and protect their data. In case of suspicion of unauthorized or unlawful access, stolen or lost email and/or password, the buyer should notify the seller immediately, in order to suspend access to the buyer's personal information and avoid unauthorized actions with the user profile.

5. When registering, the buyer explicitly expresses their will to agree to the terms and conditions by checking the box "I accept the Terms and Conditions" and subsequently clicking the button to confirm the registration. By checking the box "I accept the Terms and Conditions," the Buyer makes an electronic statement within the meaning of the Electronic Document and Electronic Trust Services Act, declaring that they are familiar with the terms and conditions and accept them in full.

6. After successful registration, the buyer will receive a confirmation of the completed registration via email.

7. The user profile allows the buyer to view and edit the information entered during registration at any time. It provides full access to all orders, favorite products, informational messages, etc.

8. At the request of the buyer, the user profile can be closed at any time.

9. In the event of provided false, inaccurate, outdated, or incomplete information, the seller has the right to:

·  requires the buyer to provide true, accurate, current, and, accordingly, complete information;

·  close and/or delete the relevant information and/or deny the buyer further access to part or all of its services and/or completely erase the buyer's registration and/or terminate the contract with them without any notice.

10. MoebelX is not responsible for incorrectly and/or inaccurately fulfilled orders and/or services performed in connection with the information received from the buyer, and the resending of goods is the responsibility of the buyer.

V. CONTRACT, GOODS AND ORDERS

1. The distance selling contract between MoebelX and the buyer is considered concluded from the moment the specific order is confirmed by the seller.

2. The placing of orders and the conclusion of contracts for the purchase and sale with the seller can only be carried out by individuals who are at least 16 years old.

3. Orders and the conclusion of purchase/sale contracts with the seller can be made by both buyers with a user profile and those without registration on the site.

3.1. When placing an order by an unregistered buyer, they voluntarily provide their personal data required by the order form for unregistered purchases. The fields that must be filled out to complete the order are marked with an asterisk. The buyer agrees and declares that they will provide true, accurate, current, and complete information when filling out the data for placing an order without registration. In the event that the buyer provides false, inaccurate, outdated, or incomplete information when placing an order without registration, the seller has the right to:

·  requires the buyer to provide true, accurate, current, and, where applicable, complete information or

·  closes and/or deletes the relevant information and/or denies the buyer further access to part or all of its services.

3.2. When completing an order by a buyer without registration, the buyer explicitly expresses their consent to the terms and conditions by checking the box "I accept the Terms and Conditions." By checking the box "I accept the Terms and Conditions," the buyer makes an electronic statement within the meaning of the Electronic Document and Electronic Signature Act, declaring that they are familiar with the terms and conditions and accept them in full.

4. The online store accepts orders without interruption - 24 hours a day. The buyer has the right to order all goods listed on the site that have an active "Add to Cart" button. When placing an order, the buyer has the right to choose the type of goods and their quantity, services, and the method of delivery, according to the options provided on the site.

5. For each product on the site, information is provided regarding the price of the product, its main characteristics, and additional information to assist buyers in making an informed choice when purchasing. MoebelX is not responsible for inaccuracies in the description of products that do not pertain to their main characteristics and does not claim completeness of the provided information.

6. The seller has the right to make changes to the published goods, prices, and other characteristics of the goods at any time without prior notice, and the buyers are considered informed of the specified changes from the date of their publication. Some of the information published on the site may refer to goods that are not offered and are not currently available, for which we apologize in advance.

7. The order is placed by following these main steps:

·  Overview of the goods offered on the site;

·  Adding goods and/or services to the buyer's virtual cart;

·  Login/Register as a new buyer or choose to shop without registration;

· Entering the delivery address;

· Confirmation of the payment method;

·  Finalizing the order.

·  Until the order is confirmed, the buyer can review and change the ordered goods, quantities, payment method, and other details related to the specific order. Upon finalizing the order and its confirmation by the buyer, the latter is obliged to pay the price of the order and again declares that he is aware of the fact that the order is associated with an obligation to pay on his part. After the order is finalized and confirmed by the buyer, the electronic store's system automatically sends an informational email confirming its receipt in the seller's system.

8. The buyer has the right to cancel the order within 24 hours by notifying the seller via e-mail orders@mbx.bg, while обязательно указать номер заказа, который отменяет.

9. Buyers understand and agree that certain goods and/or quantities may not be available at the time the order is placed. In this case, the virtual cart will be split into two separate deliveries – one with available products and one with a long delivery time. The buyer may choose to transfer some of the available goods, where possible, to the long delivery shipment and receive all goods at once, place an order with two separate deliveries, or make changes to the goods and/or their quantities.

10. MoebelX may request additional confirmation of the order and/or information necessary for its fulfillment, including by phone or email. In the event that the buyer refuses to provide the confirmation and/or necessary information requested by the seller, the refusal automatically leads to the cancellation of the order with or without further notification to the buyer.

11. MoebelX is not responsible for incorrectly and/or inaccurately fulfilled orders and/or services performed in connection with the information received from the buyer, and the resending of goods is the responsibility of the buyer.

PROVISION OF SERVICES

VI. FURNITURE ASSEMBLY

1. When ordering furniture, the buyer can request an assembly service for the same. The price of the assembly depends on the type and quantity of furniture purchased by the buyer, and is automatically calculated based on the information provided in the order, but not less than 100 BGN for one assembly.

2. The installation service can be requested through the website and the online store only for products for which this is possible. The price for the installation of these products is visible in the "Installation" section. For some of the products offered on the website and the online store (e.g., Kitchens), the request for the installation service is not available due to specific requirements for its execution.

3. The buyer may include an installation service in the order at any time before its completion and confirmation. The buyer has the right to request an installation service only for part of the goods in the order. In this case, the installation team will install only the goods for which the installation service has been paid.

4. After finalizing and confirming an order that includes an installation service, an employee of MoebelX will contact the buyer to clarify the day and time for the service to be performed. The scheduling of the day and time must take into account the expected delivery time of the goods and is always on a day following the delivery. The seller only performs the installation activities paid for by the buyer for goods purchased from the MoebelX online store.

5. On the day of the installation service, the presence of the buyer is mandatory to clarify any additional details or questions that may arise from the installation team.

6. The buyer must comply with the following conditions regarding the installation and the room in which it will take place:

· The room must be cleaned, with completed construction and renovation work, installed flooring, with a height difference in the area where the furniture will be placed not exceeding 1 cm per 1 linear meter, and the presence of electrical power and lighting in the room. The buyer guarantees that there are no electrical, plumbing, or other installations at the installation sites that could be damaged during the installation work. MoebelX is not responsible for damages for such reasons;

·  No resizing and/or reworking of the furniture being installed is performed;

· All furniture for which assembly has been paid must be available in the room where it will be assembled in advance;

· After the installation work is completed, the buyer must inspect the completed work and is required to sign a handover protocol, in which any noted remarks regarding the installed goods, if any, are properly described.

7. MoebelX has the right to completely postpone the provision of assembly service if:

· The installation process has been interrupted due to the buyer's fault;

· Some of the conditions in the previous item 6 have not been met.

8. If the work of the installation team is interrupted due to the buyer's fault, each subsequent visit to complete the installation service will incur an additional charge of 100 BGN. If the installation is carried out in a location outside the cities previously described on the Site, the transportation costs of the installation team will also be charged additionally, in accordance with Article VI, Section 10. The amount can be paid by bank transfer or in another manner agreed upon between the seller and the buyer, and in all cases, the amount must be received before the repeat visit.

9. If the assembly of the furniture is interrupted and postponed, the buyer must inspect the work completed up to the interruption and is required to sign a handover protocol, which specifies the assembly activities that have been completed and those that need to be finished during a subsequent visit. The day and time for the follow-up visit are agreed upon between the seller and the buyer, with the latter needing to contact MoebelX to request the follow-up visit.

10. If the installation is carried out in a populated area outside the cities previously described on the Site, additional transportation costs for the installation team will be charged as follows: for a distance of 30 to 50 km – 50 BGN; for a distance of 51 to 100 km – 100 BGN; for a distance of 101 to 200 km – 150 BGN; for a distance over 200 km – 175 BGN.

VII. DELIVERY

1. MoebelX performs deliveries with its own transport and through subcontractors only within the territory of the Republic of Bulgaria, to an address specified by the buyer. The seller reserves the right to change the subcontractor performing the delivery without being obliged to inform the buyer in advance, as long as this does not affect the price and delivery time.

2. The delivery times for the goods are as follows:

·  The delivery time for available goods is 14 (calendar) days;

· For the delivery of out-of-stock items with a long delivery time, it is calculated for each individual item in the virtual cart. In this case, the expected delivery time is taken as the latest time from all selected items in the virtual cart;

· The delivery times may be extended during official holidays and/or weekends, by the duration of the non-working days. If payment is made by bank transfer or through a credit institution, the delivery times begin to run from the date the order price is received in the seller's bank account.

3. When a delivery is made by transport from MoebelX, the day and time for its execution are further specified with the buyer in a phone conversation with a representative of the seller. In the event that the buyer cannot accept the order at the agreed time, they owe a penalty for redelivery in the amount of the paid delivery price.

4. The delivery is automatically calculated in the order value and is indicated below the information about the goods in it.

5. MoebelX reserves the right, upon the fulfillment of certain conditions, to offer buyers discounts on the delivery price.

6. The seller has no obligation to carry the delivered goods. Delivery is made to the address specified by the buyer, and the receipt of goods takes place at the open doors of the vehicle.

7. MoebelX is not responsible for delays in delivery due to circumstances beyond its control, such as delays caused by the courier handling the delivery.

8. In the case of an incorrect or wrong address, contact person, and/or phone number provided when confirming the order, the seller is not responsible for the inaccurate execution of the delivery resulting from the false information provided by the buyer.

9. Upon delivery of the goods, the buyer or a third party designated by them is required to sign the accompanying documents for the goods. A third party is considered to be any person who is not the holder of the order but accepts the goods upon delivery at the address specified by the buyer.

VIII. KITCHEN DESIGN

1. The buyer can request the Kitchen Design service. The price for creating the project depends on the type and nature of the individual order, and is calculated based on the parameters of the order and is communicated to the buyer in advance.

2. The Kitchen Design service can be requested through the website and/or by phone at MoebelX;

3. The Kitchen Design service includes taking measurements by the buyer. MoebelX is not responsible for any subsequent issues related to the installation of the kitchen caused by inaccurate measurements.

4. The measurements are taken when the walls, floor, and ceiling of the room where the kitchen will be positioned are fully constructed and finished. In the event of changes made to the room between the measurement and the installation of the kitchens, MoebelX is not responsible for any subsequent issues related to the kitchen installation caused by inaccurate measurements.

5. The buyer has the right to file a complaint about a service when it does not conform to the contract.

IX. PAYMENT

1. The buyer can pay the price of the order using one of the following methods of their choice:

· Payment with Debit/Credit Card - through a virtual POS terminal. The bank cards you can use for online payments are: VISA, VISA Electron, MasterCard;

· Bank transfer – the payment term for bank transfer is 7 (seven) working days, starting from the receipt of the Order, to a bank account specified by the seller, with the invoice number being mandatory entered in the "Payment reference". 

X. PROTECTION OF PERSONAL DATA

1. "MoebelX" Ltd. – the administrator of the site  https://www.mbx.bg– uses your personal data solely for the purposes of fulfilling the contract for the delivery of goods, in which you are a party, by ordering goods and services from our website https://www.mbx.bgas well as for the purposes of subsequent contact with you, if you have chosen to reach out to us at any of our phone numbers or at the email provided on the website. MoebelX does not collect or process more or other types of personal data than are necessary to fulfill the purposes stated in the Privacy Policy of the website https://www.mbx.bgpurposes. MoebelX will use personal data solely in accordance with what is stated in the website's Privacy Policyhtpps://www.mbx.bg, unless you have given your explicit consent for another type of use of your personal data, such as through an explicit declaration of consent for the sending of marketing messages.

XI. PROTECTION OF COPYRIGHTS

1. Buyers may use all functionalities offered on the site for personal needs, for non-commercial purposes, and provided that the copyright of the seller or third parties directly or indirectly related to the materials on the site is not violated. It is expressly prohibited for the materials published on this site to be copied, publicly distributed, or given away for any purpose by the buyers.

XII. WITHDRAWAL FROM THE DISTANCE SALES CONTRACT FOR THE SALE OF GOODS AND REFUND OF THE PAID PRICE

1. Based on Article 50 of the Consumer Protection Act, a buyer who qualifies as a consumer under the Act has the right, within 14 days from the delivery, to withdraw from the concluded contract without owing compensation or penalties and without stating a reason, by returning the ordered goods under the following conditions:

· The Buyer must inform the Seller in writing in advance at the email address: orders@mbx.bgthat he withdraws from the contract, while mandatorily providing a bank account to which the price he paid for the returned goods will be refunded.

· The goods must be returned in person by the buyer or by a person authorized by them to a MoebelX warehouse or returned by courier.

· The original packaging of the goods provided by the manufacturer must not be opened and the integrity of the protective stickers placed by MoebelX must not be compromised.

· All transportation and other costs related to the return of the goods are entirely the responsibility of the buyer. Until the moment of the return of the goods from the buyer to the seller, the risk of accidental loss or damage is entirely borne by the buyer.

2. In the event that the buyer exercises their right under Article 50 of the Consumer Protection Act, provided that they have fulfilled the aforementioned conditions, the seller is obliged to refund the paid price of the goods via bank transfer (to the bank account specified in the order given above) within 14 days from the return of the goods.

XIII. WITHDRAWAL FROM THE DISTANCE CONTRACT FOR THE SALE OF SERVICES AND REFUND OF THE PAID PRICE

1. Based on Article 50 of the Consumer Protection Act, a buyer who qualifies as a consumer under the Act has the right, within 14 days from the delivery, to withdraw from the distance contract for services without owing compensation or penalties and without stating a reason, under the following conditions – The buyer must inform MoebelX in writing in advance at the email address: orders@mbx.bgthat based on Article 50 of the Consumer Protection Act, the service contract is being canceled, and it is mandatory to provide a bank account to which the price paid for the service will be refunded.

2. In the event that the buyer exercises their right under Article 50 of the Consumer Protection Act, provided that they have fulfilled the aforementioned conditions, the seller is obliged to refund the price of the service within the legally established 14-day period in accordance with Article 54, paragraph 2 of the Consumer Protection Act.

3. When the buyer exercises the right of withdrawal after making a request under Article 49, paragraph 9 of the Consumer Protection Act (i.e., for the provision of any of the services to begin before the expiration of the period for exercising the right of withdrawal from the distance contract), he pays the seller a proportional amount for what has actually been provided to him up to the moment the buyer has notified the seller of the exercise of the right of withdrawal.

XIV. ПРЕГЛЕД НА СТОКАТА. РЕКЛАМАЦИИ НА СТОКИ И УСЛУГИ

1. All goods presented on the website and/or sold in the online store, as well as the services provided, are covered by a legal warranty for the conformity of the goods/service with the sales contract in accordance with Articles 41-48 of the Consumer Protection Act and Article 125 of the Consumer Protection Law. The commercial warranty does not affect the rights of buyers arising from the warranty under Articles 41-48 of the Consumer Protection Act and Article 125 of the Consumer Protection Law. Regardless of the commercial warranty, the seller is responsible for the lack of conformity of the consumer goods/service with the sales contract in accordance with the warranty under Articles 41-48 of the Consumer Protection Act and Article 125 of the Consumer Protection Law.

2. Upon receiving the goods or the provision of the service, the buyer is obliged to immediately inspect them, respectively to see the result of the provided service, and in case they find any obvious defects, the absence of any accompanying accessories and/or any of the documents required by Bulgarian legislation, they must immediately inform the person delivering the goods or providing the service, for which a protocol is drawn up. If they do not do this, the item/service is considered approved, and the buyer loses the right to later claim that the goods/service were delivered with obvious defects, the absence of any accompanying accessories and/or any of the documents required by Bulgarian legislation.

3. Complaints regarding goods purchased remotely through the seller's online store are made according to the rules and in accordance with the terms and conditions of their commercial warranty. The buyer must notify the seller via email orders@mbx.bgfor each complaint, attaching the corresponding invoice/receipt for the purchased goods or indicating its number and date. For the convenience of buyers and faster processing of the complaint request, an electronic complaint form

5. The warranty period for the furniture is equal to the warranty period provided by the manufacturer of the goods.

6. Used goods are not eligible for return or exchange; Discounted goods with defects are not eligible for exchange.

7. The warranty period is calculated from the moment the Goods are delivered to the Buyer or the transport company.

8. The warranty does not cover defects in the Goods in the following cases:

·  expiration of the warranty period;

·  specified by the Seller when selling the Goods;

·  if they can arise as a result of self-assembly, as well as assembly by third parties;

·  in case of damage resulting from improper storage of the Goods, intentional or negligent actions of the Buyer and/or third parties

·  violation by the Buyer or third parties of the operating rules

·  presence of mechanical damages and defects in the product, identified by the Buyer after acceptance and transfer, external interventions in the product as a result of improper use;

· causing damage to the goods as a result of intentional and/or negligent actions of the Buyer;

· causing damage to the product due to exposure to chemicals, solvents, and other corrosive substances and liquids, as well as the intrusion of foreign objects, animals, insects, etc. into the product;

· causing damage to the product as a result of changes in its design;

·  use of products for other purposes, including for production purposes;

·  natural wear and tear of the product that occurs during use, discovery of traces of storage of wet and damp items inside the product, as well as delamination, cracking, and swelling of the elements due to direct contact with water;

·  the occurrence of a defect due to untimely independent maintenance of threaded connections;

9. The Buyer’s claims shall not be satisfied in the following cases:

·  in case of non-compliance with the requirements of the "Furniture Care Instructions";

·  when the product is assembled independently by the Buyer, as a result of which:

-  изкривявания в продукта, влошаващи външния вид на мебелите;

-  неправилна работа на механизма (трансформация) на движение и разгъване на мебели;

violation of the product's geometry, as a result of which individual parts of the product have been damaged / may be damaged;

-  стоката изцяло или в отделна част от нея е неизправна и не може да се използва нормално или е с негоден за продажба вид.

When transporting (rearranging) the assembled furniture by the Buyer, resulting in the detachment (peeling) of decorative elements and overlays, as well as tearing of the upholstery material. The repair of such a product is at the expense of the buyer.

10. It does not apply to defects in the goods, and the buyer is informed and agrees that:

·  the presence of a manufacturing-related odor in a new product (varnish, paint, etc.),

· The invisible sides of the product are not subject to varnishing, upholstery with the main (front) fabric, and may show fasteners: self-tapping screws, bolts, nuts, and furniture clips for securing the fabric. The details of the product's frame (plywood, particle board, fiberboard, laminated particle board, MDF) and other materials used in production may contain traces of markings, labels, and mechanical scratches. The outer sides of the side walls of MDF products are veneered and varnished. The inner sides of the side walls should not be veneered. The outer "invisible" sides of tables (the underside of the top, the inside of the drawer) are not subject to finishing work. The outer "invisible" sides of sofas and corner sofas are not subject to finishing work. The outer invisible sides of the product may contain traces of markings, labels, and mechanical scratches (technological damages).

·  the presence in the elements of characteristics due to the stylistic idea of the manufacturer, the raw materials, or the natural origin of the raw materials, in particular: minor differences in the texture and/or shades of solid wood, natural veneer, natural stone, etc.;

·  presence of wood defects on the face surfaces of wooden and/or veneered furniture elements: light and dark knots and others up to 15 mm; warping, eyes, pockets with a length of no more than 20 mm, width 1.5 mm, depth 3 mm;

·  wrinkles on the covering material of soft elements that appear after the removal of the load and disappear after smoothing (manually);

·  folds, gathers, tensions in the upholstery material due to artistic design, as well as wrinkles (creases) in the upholstery material (fabric / leather / synthetic leather), covers (removable and non-removable) of soft elements, armrests, and cushions, both existing and appearing during use;

· the difference in the shades of upholstery materials, the tone of decorative elements when assembling a set of different models, using pile, heterogeneous upholstery (leather / faux leather);

·  deviation in the color shade of each composite item from its sample;

·  small cracks (“cracking effect”), abrasions on furniture upholstery made of natural leather and synthetic leather, occurring during the use of the furniture;

·  the natural smell of the materials (including lining leathers and others) from which the Goods are made;

·  Goods that do not fit through the doors of the Buyer's premises;

·  natural formations (in the form of marks, indentations, scars) on the elements of the Goods, arising as a result of their transformation, to be used as a sleeping place;

· wrinkles on the facial leather that occur during the use of the goods as a result of natural and permissible stretching according to GOST (within 10%);

·  residual deformations (most likely in the form of "waves") on the mattress, which appear after transforming the goods from a "sitting" position to a "lying" position, which do not affect its intended use.

· Corner sofas and sofas intended for installation in the corners and against the walls of rooms have a back (rear) and bottom (technical) side of the product, which are not the front-facing sides. If this furniture is installed not in the corners and not close to the walls of the room, the Buyer is obliged to notify the Seller in writing at the time of order, so that the latter can change the technology of manufacturing and finishing the back of the product with front fabric;

·  discrepancies with the images of the Goods on the Goods website transferred to the Buyer, if these discrepancies relate to the shade of color, cutting options (cutting), texture, hue, pattern of wood / artificial stone / leather, and other differences related to the heterogeneity of the natural material.

The buyer agrees that the curved and straight (film and painted) facades may slightly differ in structure due to the use of different materials in their production, which is not a defect.

XV. Liability of the Parties

1. In case of a delay in the delivery of the Goods due to the Seller's fault, the Buyer has the right to demand that the Seller pay a penalty of 0.1% of the value of the undelivered Goods.

2. The Buyer is obliged to reimburse the Seller for the costs of storing the Goods in the Seller's warehouse at a rate of 0.3% (zero point three percent) of the value of the Goods per day, starting from the 4th (fourth) working day from the date of receipt of the notification of the readiness of the Goods for shipment. Payment of penalties does not release the parties from fulfilling their obligations under this agreement.

3. The Buyer agrees to compensate the Seller for the costs associated with returning the Goods to the Seller's warehouse and re-delivering the Goods to the Buyer, if the Buyer is at fault (absence on the delivery date, etc.), within 2 (two) business days from the moment the invoice is issued to the Buyer.

4. The Seller is not responsible for damages caused to the Buyer due to improper use of the Goods ordered through the online store.

5. The Seller is not responsible for the losses of the Buyer arising from illegal actions of third parties or incorrect information provided by the Buyer.

6. The parties are released from liability for full or partial non-fulfillment of their obligations if such non-fulfillment is a result of force majeure circumstances due to extraordinary events that the parties could not have foreseen or prevented with reasonable measures.

7. In cases not provided for in this agreement, the parties shall be liable in accordance with the provisions of Bulgarian legislation.

8. Losses are collected over the amounts of penalties (fines, penalties).

9. The Seller is not responsible for the claims of the Buyer's end consumers.

XVI. FINAL CLAUSES

1. MoebelX is committed to providing only the services presented on the website, in the manner described. All information presented on the website, including but not limited to design, availability, prices, and location of goods, is valid only at the time of its presentation, and MoebelX reserves the right to change it at any time without notice. It is the buyer's responsibility to regularly check the terms of use of the website and the online store, as well as the provided information on prices, availability, etc., to be timely informed in case there have been any changes. In all cases, the change takes effect going forward and does not affect orders confirmed by the seller prior to its implementation. In the event that additional approval from our side is necessary, it must be given; otherwise, regardless of the confirmation of the order, it will be considered invalid.

2. The seller makes constant efforts to always provide up-to-date information on the website and in the online store, but does not claim its completeness and accuracy.

3. The seller is not responsible for the content and safety of websites to which links published on this site direct. Clicking on such links and using the websites they refer to is done by users of this site entirely at their own risk and responsibility. To the extent permitted by applicable law, MoebelX is under no circumstances liable for any direct, indirect, special, or consequential damages arising from the use of the site, or from any other linked site, including, without limitation, any lost profits, business interruption, loss of programs, or other data on the user's information or other systems.

4. The seller does not guarantee uninterrupted, timely, and error-free access to the website and online store, as far as this is beyond the control and capabilities of MoebelX. In the event of circumstances that the seller could not and was not obliged to foresee, including but not limited to cases of force majeure, accidental events, and problems in the global Internet network, the seller shall not be liable for failure to fulfill its obligations under this contract.

5. The design, structure, and content of the website are subject to copyright and are protected by law. The exclusive right to use them belongs to "MoebelX" Ltd. It is prohibited for users to copy, publicly distribute, display, or distribute materials, photos, logos, images, and similar content published on the website for any purpose. Violators are subject to penalties according to the provisions specified in the Copyright and Related Rights Protection Act and the Trademark and Geographical Indications Act.

6. For issues not regulated by these general terms, the general terms for the sale of goods and services by representatives of MoebelX published on the website apply, as well as the provisions of the applicable legislation in the Republic of Bulgaria. All disputes regarding the interpretation and execution of these general terms and regarding the interpretation and execution of distance sales contracts for goods ordered on the website will be resolved by agreement; in the event that such an agreement cannot be reached and if jurisdiction is not specified imperatively, the dispute will be referred for resolution to the competent court in the city of Ruse, in accordance with the rules of subject matter jurisdiction under the Civil Procedure Code, namely – Ruse District Court or Ruse Regional Court.
